Board Composition Analysis
  1. Research and review in detail all investor and corporate governance materials for the company.
  2. Research in detail all current Directors of the company.
  3. Research in detail competitor Boards of the company.
  4. Meet individually with the Nominating and Corporate Governance Committee members and then individually with the full Board of the company to discuss their backgrounds, experience and details.  Review their individual thoughts and observations of the strengths, weaknesses, and overall performance of the current board as well as their thoughts, suggestions and nuances as to what they believe is required to strengthen the board and what they would like to see in future directors.
  5. Draft a Board Composition Matrix, a Board Evaluation Report, Board Recommendations and a Competitor Board Comparison to circulate to the Nominating and Corporate Governance Committee.
  6. Meet with the Nominating and Corporate Governance Committee for a detailed review and discussion.
  7. Discuss future potential Directors including timing and prioritizing requirements.
